Apply directA leading international law firm is looking for a Company Secretary in Hong Kong. Working closely with corporate partners and lawyers, you will independently manage statutory filings, board documentation, and governance matters for a diverse portfolio of multinational corporate clients. Leveraging your corporate secretarial experience, you will maintain high standards of regulatory compliance and support complex corporate transactions.
Key Responsibilities

Portfolio Governance: Manage end-to-end corporate secretarial duties for private and public corporate clients across Hong Kong, offshore, and international jurisdictions.

Statutory Compliance: Prepare and file annual returns, notices, and statutory forms in accordance with the Hong Kong Companies Ordinance and relevant offshore regulations.

Board & Meeting Support: Draft clear board resolutions, shareholder minutes, notices, and execute corporate governance documentation.

Client & Legal Liaison: Serve as a primary point of contact for corporate client queries, coordinating closely with partners, associate lawyers, and statutory registries.

Database & Registry Maintenance: Maintain accurate statutory records, minute books, and corporate registers using contemporary corporate secretarial software.
Candidate Profile

Education & Qualification: Degree holder in Corporate Governance, Law, Business, or a related discipline; associate member or student member of HKCGI / HKICS (or equivalent) is highly preferred.

Experience: 3–5 years of solid corporate secretarial experience, ideally gained within a professional law firm, CPA firm, or corporate services provider.

Technical Knowledge: Sound working knowledge of the Hong Kong Companies Ordinance, statutory filing procedures, and offshore company maintenance.

Core Skills: Meticulous attention to detail, strong organizational abilities, and a proactive attitude toward managing multiple client deadlines.

Languages: Native or professional fluency in spoken and written English and Chinese (Cantonese and Mandarin).
