Apply directOur client is dedicated to the global sourcing, development and operation of battery energy storage systems (both as add-ons to existing renewable energy sites and greenfield development opportunities).
Mission: As a pivotal member of this global legal team, you will be instrumental in the strategic structuring, negotiation, and execution of complex equity and asset transactions, with a particular focus on greenfield developments and strategic acquisitions. This role serves as the critical nexus between the investment, financial, and tax teams, ensuring the development and implementation of cohesive deal strategies that transform intricate challenges into successful outcomes across the diverse global portfolio.
Responsibilities:
- Transaction Management: Lead the drafting, meticulous review, and negotiation of sophisticated transaction documents, including but not limited to equity share and asset subscription/purchase agreements, and comprehensive shareholders' agreements.
- Cross-Functional Collaboration: Foster close collaboration and coordination with investment, financial, and tax teams to facilitate the thorough review, analysis, implementation, and execution of complex transactions.
- Due Diligence Oversight: Manage and coordinate comprehensive legal due diligence reviews, critically assessing and synthesizing relevant due diligence reports to identify and mitigate risks.
- Regulatory Compliance: Oversee national security reviews and navigate government approval processes for cross-border investment projects, ensuring full compliance with international and local regulations.
- Strategic Legal Advisory: Provide expert legal counsel and daily operational support for cross-border investments, with a specialized focus on independent power producer (IPP) projects.
Key Qualifications and Skills:
- Legal Qualification: Admitted to practice as a qualified lawyer (or equivalent) in any common law jurisdiction.
- Professional Experience: A minimum of three (3) years of post-qualification experience gained within multinational corporations and/or reputable international law firms.
- Sectoral Expertise (Preferred): Demonstrated experience in overseas greenfield investments, independent power producer (IPP) projects, or within the the energy sector (renewables preferred).
- Language Proficiency: Exceptional command of both spoken and written English and Putonghua, with the ability to articulate complex legal concepts clearly and concisely.
- Core Competencies: Possess excellent verbal and written communication skills, a strong aptitude for continuous learning, proven practical problem-solving capabilities, and a collaborative team-oriented approach.
