Apply directWe're delighted to be working with an established international professional services organisation is seeking a Legal Business Partner to join its growing service team in the Netherlands.
This is an opportunity to work within a highly international environment, advising a diverse portfolio of multinational clients on a broad range of corporate governance, transactional and compliance matters. The role combines technical legal expertise with client relationship management and team leadership responsibilities, offering significant exposure to complex cross-border structures and transactions.
Working alongside experienced legal, finance and corporate services professionals, you will play a key role in supporting clients through corporate events, governance requirements, restructurings and strategic business initiatives.
Key Responsibilities
- Advise international corporate clients on a wide range of Dutch corporate law and governance matters
- Review and support transactions including acquisitions, restructurings, refinancing activities, corporate reorganisations, and other strategic projects
- Draft, review and coordinate corporate documentation, board resolutions, shareholder resolutions, powers of attorney, agreements and related legal documents
- Assess legal and compliance implications of proposed transactions and identify potential risks and mitigation strategies
- Support annual governance processes, including statutory approvals, corporate filings and financial statement adoption procedures
- Ensure legal entities remain compliant with applicable corporate regulations and governance requirements
- Manage ongoing corporate administration and legal maintenance activities across a portfolio of international clients
- Act as a trusted advisor to clients, providing practical and commercially focused legal guidance
- Coordinate with external advisors including law firms, auditors, tax specialists, notaries, and regulatory authorities where required
- Identify potential legal, governance and director liability risks and provide appropriate recommendations
- Build and maintain strong relationships with clients and key stakeholders
- Coach and support junior legal professionals, contributing to their technical and professional development
Candidate Profile
- Degree-qualified in Law, Corporate Governance, Business Law, Notarial Law, Fiscal Law or a related discipline, with experience supporting corporate entities in an international environment.
- Minimum 4 years' experience within corporate legal services, corporate governance, transaction support, trust & corporate services, law firm, notarial practice or in-house legal environments
- Strong knowledge of Dutch corporate law and governance requirements
- Ability to analyse legal and compliance risks while providing commercially pragmatic solutions
- Excellent stakeholder management and communication abilities
- Comfortable working within a fast-paced, international and client-focused environment
- Fluent in English, both written and spoken
