We are seeking a highly skilled and experienced Legal Director to join a leading manufacturing organization. This role will be pivotal in managing legal matters, governance, and compliance within the company. The position is based in Tokyo, with occasional travel for international meetings.
About the Role
As the Legal Director, you will handle a wide range of legal responsibilities, including commercial agreements, governance matters, and HR support. This role requires a strong legal background with hands-on experience and high proficiency in both Japanese and English. You will report directly to the non-Japanese Managing Director and work closely with various internal and external stakeholders.
Responsibilities
-Commercial Matters:
- Draft and review agreements related to sales, finance, and other business areas in Japanese and English.
- Negotiate terms with customers, suppliers, and other third parties.
- Administer contract management systems and maintain document control.
- Provide advice on stamp duty and contract arrangements for tax advantages.
- Update and manage standard agreement templates.
-Governance Matters:
- Prepare documents for Shareholders and Board of Directors meetings.
- Handle updates to registration matters and Articles of Incorporation.
- File securities and stock-related reports, and manage court-related administrative tasks.
- Host Regional Compliance Committee meetings and participate in BCP and Japan Leadership Team meetings.
- Identify and plan for potential company risks.
-HR Onsite Support:
- Advise on employee issues, harassment reports, and working regulations.
- Attend labor tribunals as needed.
-Employee Training:
- Conduct training sessions on trade secrets, conflict of interest, and company policies.
Requirements:
-Education: Bachelor’s degree or higher in law.
-Experience:
- 10+ years in legal roles, particularly in the manufacturing industry.
- Experience with commercial and governance matters.
- Hands-on experience rather than team management.
-Knowledge:
- Proficient in Civil Code, Commercial Code, Company Code, Labor Code, Privacy Law, Anti-trust Law, Unfair Competition Prevention Law, Product Liability Law, and Stamp Duty.
-Skills:
- Strong communication skills and the ability to understand and address business needs.
- High proficiency in English and Japanese, with the ability to translate technical documents.
- Self-motivated with a willingness to manage uncertainty.
- Certifications: Japanese law license preferred but not required; US law license is a plus.
