Chief Financial Officer (CFO)

Key Responsibilities

Strategic Finance & Financial Planning

  • Develop and lead the organization's financial strategy to support long-term business growth.
  • Prepare medium- and long-term business and financial plans for the company and its subsidiaries.
  • Manage the company's capital structure, fundraising activities, and investment strategies.
  • Serve as a strategic business partner to the CEO and Board of Directors on investment decisions, business expansion, and corporate strategy.

Accounting, Finance & Financial Reporting

  • Oversee all accounting and finance functions for the company and its subsidiaries.
  • Ensure accurate preparation of financial statements in compliance with Thai Financial Reporting Standards (TFRS), and timely submission of quarterly and annual financial reports to the Stock Exchange of Thailand (SET) and the Securities and Exchange Commission (SEC).
  • Lead budgeting, financial forecasting, performance analysis, and preparation of the Management Discussion and Analysis (MD&A).
  • Contribute to the preparation of the Annual Registration Statement/Annual Report (Form 56-1 One Report) relating to financial information.
  • Drive management accounting and financial analysis to support executive decision-making.
  • Continuously improve finance and accounting information systems to ensure timely, accurate, and actionable financial data.

Treasury & Liquidity Management

  • Manage cash flow, liquidity, banking facilities, and debt obligations across the company and its subsidiaries.
  • Develop cash flow plans to support both operational requirements and investment activities.

Internal Control, Risk Management & Corporate Governance

  • Develop and strengthen internal control systems, enterprise risk management, and corporate governance practices in accordance with listed company standards.
  • Regularly assess and manage financial risks across the group.
  • Oversee quarterly reviews, statutory audits, and coordinate with the Audit Committee, Internal Audit, and external auditors.
  • Ensure compliance with all applicable laws and regulations, including the Securities and Exchange Act, Public Limited Companies Act, SEC regulations, and SET requirements.
  • Oversee accurate, complete, and timely disclosure of information to the SET, including insider trading controls and blackout period compliance.
  • Perform duties as a designated executive under SEC regulations, including securities holding reports (Form 59) as required.

Stakeholder & Investor Relations

  • Maintain strong relationships with investors, financial analysts, financial institutions, auditors, the SET, SEC, and other regulatory authorities.
  • Represent the company at investor relations events, including Opportunity Day, analyst meetings, and roadshows.

Leadership & Team Management

  • Lead, mentor, and manage the Finance and Accounting organization.
  • Develop and strengthen the capabilities of the finance team to meet best-in-class organizational standards.

Qualifications

  • Bachelor's or Master's degree in Finance, Accounting, Economics, or a related field.
  • Minimum 10 years of experience in finance and/or accounting, including at least 5 years in a senior leadership or executive role.
  • Meet the qualification requirements of the SEC Thailand for the highest-ranking finance/accounting executive (CFO) of a listed company, including:
    • Relevant accounting or finance experience as prescribed by SEC regulations.
    • Completion of Continuing Professional Development (CPD) training in accounting (minimum six hours annually).
    • No disqualifying characteristics under SEC regulations.
  • Proven experience working with companies listed on the Stock Exchange of Thailand, with strong knowledge of:
    • SEC and SET regulations
    • Public Limited Companies Act
    • Thai Civil and Commercial Code relating to corporate governance
  • Strong knowledge of financial regulations, taxation, financial reporting requirements, and compliance frameworks.
  • Professional certifications such as CPA or CFA, together with CPD qualifications, will be an advantage.
  • Solid experience in budgeting, financial planning, and forecasting.
  • Excellent analytical skills with strong business acumen.
  • Proficient in ERP systems, databases, and Microsoft 365.
  • Demonstrated leadership capability with excellent communication and interpersonal skills.
  • Good command of both written and spoken English.
