Corporate & Venture Capital Associate (1–4 PQE) – Leading International Law Firm

About the Opportunity
A leading international law firm is seeking a Corporate Associate (1–4 PQE, Singapore scale) to join its highly regarded Corporate & Venture Capital practice in Singapore.
This is an exceptional opportunity to work alongside a market-leading partner advising on high-profile, cross-border transactions across Southeast Asia and the wider Asia-Pacific region. The practice represents high-growth emerging companies, early-stage startups, venture capital funds, private equity sponsors, and multinational corporations across high-impact sectors including technology, digital assets, healthcare, and consumer goods.

Key Responsibilities

• Support the partner on complex, high-value cross-border M&A, private equity investments, and joint venture transactions.
• Advise startups, growth-stage companies, and venture capital investors on seed to late-stage equity fundraising rounds.
• Draft, negotiate, and review key transaction documents, including share purchase agreements, subscription agreements, shareholders' agreements, and corporate governance documentation.
• Lead and coordinate legal due diligence workstreams, managing local and overseas counterparties.
• Assist on corporate restructurings and provide ongoing general corporate advisory support to regional corporate clients.
• Liaise directly with founders, C-suite executives, investment managers, and corporate stakeholders.

Candidate Requirements

• Relevant PQE experience in corporate, cross-border M&A, venture capital, or private equity, with the role level aligned to the candidate's experience.
• Admitted to the Singapore Bar, England & Wales, or an equivalent common law jurisdiction.
• Strong drafting, negotiation, and analytical skills with keen commercial judgment.
• Direct experience in emerging company / VC financing or private equity deal execution is a plus, but the team is open to strong general corporate/M&A associates keen to specialize in VC and growth transactions.
• Proactive, commercially minded team player capable of managing transactions with increasing autonomy.
