This is a new role within the Governance Secretariat team to support best-practice corporate and academic governance across the organisation.
About the Role
Reporting to the Chief Governance Officer & Company Secretary, you will provide governance and secretariat support to the Board, Committees and senior leadership team across multiple jurisdictions.
This role would suit someone with a legal background with governance, company secretariat and Board support experience. This role focuses on ensuring compliance with statutory, regulatory and governance obligations while contributing to the continuous improvement of governance frameworks, processes and reporting.

About the Role
Reporting to the Chief Governance Officer & Company Secretary, you will provide governance and secretariat support to the Board, Committees and senior leadership team across multiple jurisdictions.
This role would suit someone with a legal background with governance, company secretariat and Board support experience. This role focuses on ensuring compliance with statutory, regulatory and governance obligations while contributing to the continuous improvement of governance frameworks, processes and reporting.
Key responsibilities include:
- Supporting the Chief Governance Officer to manage end-to-end Board and Committee meeting processes, including agendas, papers, minutes and action tracking
- Reviewing, drafting and coordinating Board and Committee papers to ensure quality, compliance and consistency
- Maintaining statutory registers, governance records and corporate documentation
- Management of all lodgments with ASIC and ACNC in a timely manner
- Supporting corporate and regulatory reporting requirements
- Coordinating the planning and delivery of the Annual General Meeting and any Extraordinary General Meetings
- Managing governance calendars and governance-related reporting activities
- Monitoring implementation of Board and Committee decisions
- Conducting governance and regulatory research and recommend best practice
- Support governance, risk and compliance reporting activities including the Annual Report and governance disclosures
- Act as a point of contact for Board Members, Executives and Committee members regarding governance processes and documentation
- Drive process improvements and efficiency's in the governance and secretariat functions
About You
We are looking for a governance professional who is trusted, accountable and operates with absolute discretion.
You will bring:
- A degree in Law, Business, Commerce, Corporate Governance, or a related discipline
- A legal background, qualification or experience within a legal environment will be highly regarded
- Governance Institute qualifications (or Applied Corporate Governance certification) completed or in progress
- Experience supporting Boards, Board Committees and senior executives in a governance function
- Strong knowledge of corporate governance principles and governance processes
- Experience maintaining statutory registers and governance records
- Experience drafting, preparing or coordinating Board papers, minutes, resolutions or governance reports
- Highly organized, who thrives on exceptional attention to detail, precision and professionalism.
- The ability to manage highly confidential and commercially sensitive information
- Strong written communication skills and confidence working with senior stakeholders
- A proactive approach and willingness to continuously improve governance processes
- Experience with Diligent or similar board paper platform is advantageous.
