Legal Counsel (Corporate & Commercial)

Executive search firm Monroe Consulting Group Philippines is recruiting on behalf of a leading multinational technology company specializing in e-commerce. Our respected client is seeking a Legal Counsel (Corporate & Commercial) to provide legal support across commercial transactions, corporate governance, contract management, and regulatory compliance. This role reports to the Regional Legal Counsel based in Singapore.

The position is based in Pasig City, Metro Manila, under a Dayshift (9:30 AM – 6:30 PM), onsite work arrangement.

Key Responsibilities

• Draft, review, negotiate, and advise on a wide range of commercial agreements, including vendor, customer, service, technology, marketing, procurement, and partnership contracts.
• Provide practical, business-focused legal advice to internal stakeholders on corporate, commercial, regulatory, employment, tax, and operational matters.
• Support business initiatives by identifying legal risks and recommending commercially sound solutions that align with business objectives.
• Ensure contracts and business transactions comply with applicable laws, internal policies, and corporate governance standards.
• Review, develop, and maintain contract templates, internal legal policies, and standard operating procedures to improve legal efficiency and risk management.
• Advise on corporate governance matters, including board resolutions, corporate filings, and compliance with Philippine corporate regulations, where applicable.
• Collaborate with regional and cross-functional teams on legal issues arising from new business initiatives, strategic projects, and operational changes.
• Handle regulatory inquiries and support compliance initiatives by preparing legal responses and recommending corrective actions where necessary.
• Provide legal support on pre-litigation matters, contract disputes, and claims management, coordinating with external counsel when litigation becomes necessary.
• Monitor changes in relevant laws and regulations, assess their impact on the business, and provide timely recommendations to ensure ongoing compliance.
• Conduct legal and compliance training for internal stakeholders to strengthen contract awareness, corporate governance, and regulatory compliance.

Qualifications

• Bachelor's Degree in Law (LL.B. or J.D.); must be a member in good standing of the Philippine Bar.
• At least 5 years of post-qualification experience in corporate, commercial, or in-house legal practice, with significant exposure to contract drafting and negotiation.
• Strong knowledge of Philippine corporate, commercial, contract, labor, tax, and regulatory laws.
• Experience handling commercial contracts, corporate governance, legal advisory, and compliance matters in a multinational or regional environment is highly preferred.
• Exposure to cross-border transactions and regional legal matters is an advantage.
• Demonstrated ability to provide practical, commercially oriented legal advice while balancing legal risks and business objectives.
• Excellent contract drafting, negotiation, and legal analytical skills.
• Strong stakeholder management skills with the ability to work effectively across business functions and regional teams.
• Outstanding written and verbal communication skills, with the ability to translate complex legal concepts into practical business guidance.
• Able to thrive in a fast-paced, dynamic, and matrixed organization while managing multiple priorities effectively.
