Legal Counsel (Fund Formation)

About the Client

Our client is a dynamic, fast-growing investment group managing a high-value portfolio of direct investments, cross-border corporate ventures, and strategic commercial assets. Operating across Hong Kong, Mainland China, and international markets, they offer an energetic, sophisticated environment where in-house legal professionals play a critical role in investment fund formation, strategic deal-making and risk governance.

Key Responsibilities

• Draft, review, and negotiate agreements and contracts related to direct investment projects and investment fund formations
• Partner with external litigation counsel to manage arbitrations, court proceedings, regulatory investigations, and settlement proposals.
• Deliver practical legal and compliance advice to executive management and business leads to proactively mitigate operational and contractual risks.
• Monitor and align all group company legal activities across Hong Kong, Mainland China, and offshore island jurisdictions with corporate policy.
• Stay abreast of regulatory, legislative, and policy changes affecting private equity, fund structures, and cross-border transactions.

Candidate Profile

• Law degree holder and Hong Kong Qualified Solicitor.
• Around 5 years of post-qualification experience (PQE) spanning fund formation, transactional M&A/JVs, and dispute management.
• Strong business sense with the ability to work independently, make smart decisions under pressure, and build rapport with cross-functional business units.
• Outstanding drafting and communication skills with complete fluency in written and spoken English and Chinese (Cantonese and Putonghua).
