As a Legal Counsel for Japan, you will be a member of a Legal Department of a leading multinational cybersecurity company reporting to the Head of Legal, Japan. You will be responsible for supporting all aspects of legal and compliance matters in Cybereason Japan, in order to ensure the company will conduct business activities in compliance with applicable local and international laws and regulations.
Job Description
- Provide legal advice and guidance to internal customers from various functions of the company on all matters in Japan
- Review, draft, negotiate a variety of commercial agreements with customers and partners, , closely cooperating with Japan sales and alliance teams
- Assist and advice procurement team in contract negotiations with suppliers in Japan
- Review, amend and maintain standard contract forms in compliance with local laws and business needs
- Draft, review, amend and maintain internal corporate rules and policies in compliance with local laws and global policies
- Provide legal support related to export controls
- Plan, manage and complete corporate legal procedures including shareholders and board meetings in compliance with Japan laws
- Draft, update and maintain corporate legal and regulatory filing documents in Japan
- Build new and enhance existing processes and procedures as well as related policies
- Coordinate and manage labor/employment related legal matters in cooperation with regional and global HR and legal teams and regional outside counsel
- Handle and resolve any legal disputes in cooperation with outside counsel
- Proactively identify and analyze any legal risk in Japan, and present recommendations to functional leaders to resolve them in cooperation with outside counsels
- Provide ongoing training on legal and compliance matters to Japan management and employees
Requirements
Job Requirements
- Minimum 5+ year experience in legal or compliance roles at a private company in Japan
- Admission to the bar in any jurisdictions is not mandatory but is preferred
- Experience at a Japan subsidiary of US-based leading IT company, SaaS business and particularly in cybersecurity is preferred
- Experience in negotiating contracts relating to software and integrated products; related technical support, professional services, managed services, SaaS, cloud, agency, channel, distribution, reseller, OEM, teaming, non-disclosure, data processing and other similar agreements.
- Basic knowledge related to export controls
- Solid knowledge and broad understanding of Japan corporate and commercial laws, labor/employment law, intellectual property and data privacy laws, etc.
- Native-level Japanese and business-level English language proficiency (verbal and writing)
- Strong interpersonal skills to work with cross-regional and cross-functional teams
- Independent, self-starter, ability to learn on the fly
- Ability to prioritize and manage multi-task under pressure to meet deadlines
- Strong analytical skills, and attention to details
- Being results driven with good sense of how to balance business needs with compliance and risk control
