Provide legal support from the Tokyo office across a wide range of investment management and fund-related matters, including:

• Establishment and ongoing maintenance of Cayman unit trust structures for traditional investment strategies.
• Establishment and ongoing support of Cayman unit trust and limited partnership structures for private market investments.
• Formation and administration of Japanese limited partnership structures for private equity, private credit, direct lending, and other alternative investment strategies.
• Legal support for real estate investment vehicles and related structures.
• Establishment and ongoing management of publicly offered and privately placed investment trusts.
• Negotiation of discretionary investment management agreements and related documentation.
• Regulatory filings and notifications with the Financial Services Agency (FSA).
• Legal advice relating to model portfolio and investment advisory services.
• Legal support for cross-border business activities, including sub-advisory arrangements, distribution agreements, and investment fund structures in various jurisdictions.

Advise on a broad range of corporate legal matters beyond investment management and product-related work, including:

• Corporate governance matters involving shareholder meetings, board meetings, and related corporate actions.
• Compliance with applicable financial services regulations, including the Financial Instruments and Exchange Act (FIEA).
• Employment and labor law matters.
• General commercial and corporate legal issues.

Monitor and assess regulatory and legislative developments relevant to the asset management industry and provide practical guidance on their impact.

Report directly to the Head of Legal or designated senior legal officer regarding all matters within the scope of responsibility.
