About this role
Reporting to the Chief Investment Officer, this is a hands-on Company Secretary role offering autonomy, variety and excellent exposure to Boards, Directors and senior stakeholders.

You’ll provide company secretarial, governance and corporate compliance support across the Australian business, its Fund and investment assets, working closely with the Investment, Legal and Governance teams.

Supported by another Company Secretary and an established Governance team, you’ll have plenty of scope to take ownership of your work, manage competing priorities and contribute across a broad range of governance matters.

What you'll work on
In this role, you will:
  • Support Boards and Directors with their statutory, regulatory, fiduciary and governance obligations;
  • Coordinate Board, Committee and Management meetings, including agendas, board papers, resolutions, minutes and action items;
  • Manage ASIC annual reviews, lodgements, company changes, officer and share updates and other corporate registry requirements;
  • Prepare and maintain company registers, corporate records, resolutions, shareholding information and governance documentation;
  • Coordinate company and trust incorporations across Australia and New Zealand, together with share transactions and corporate restructures;
  • Prepare and manage regulatory documentation and lodgements with ASIC, FIRB and the ATO;
  • Maintain corporate structure charts, entity records and Directors' interests registers;
  • Provide corporate secretarial, entity compliance and transaction-related support to the Investment and Legal teams;
  • Monitor regulatory, statutory and governance developments and communicate relevant changes; and
  • Provide ad hoc Risk & Compliance and audit support, including special projects as required.
Skills & experience
You will ideally bring:
  • 5–8 years' company secretarial experience;
  • Experience providing company secretarial, entity management or corporate compliance services, ideally within a legal, professional services or consulting environment;
  • Strong knowledge of the Corporations Act 2001 and ASIC compliance requirements;
  • Experience with company incorporations, ASIC lodgements, share transactions, statutory records and corporate restructures;
  • Experience using Diligent/Blueprint OneWorld, BGL/CAS360, GEMS or similar entity management platforms;
  • Experience with Board software such as OnBoard, Diligent, BoardPro or Boardvantage;
  • Strong organisational, communication and stakeholder management skills; and
  • Excellent attention to detail, initiative and the ability to work autonomously while managing multiple priorities.
A Graduate Diploma of Applied Corporate Governance and Risk Management through the Governance Institute of Australia, or equivalent, will be highly regarded, including candidates currently working towards the qualification.

You’re a proactive Company Secretary who enjoys working closely with Boards and senior stakeholders. You’ll bring sound judgement, strong interpersonal skills and the confidence to provide constructive governance advice, while balancing commercial objectives with regulatory and compliance requirements.
You’ll be comfortable taking ownership, anticipating what needs to be done and driving matters through to completion with minimal supervision.
